Terms of Sale and Licence
1. Who we are
The Shelf is made by Styles Developments (“we”, “us”), a sole trader based in Auckland, New Zealand. In these terms, “The Shelf” means The Shelf desktop app and any add-ons, updates and documentation we supply with it. “You” means the person buying or using it.
2. Buying The Shelf
Orders are processed by Lemon Squeezy, which acts as the merchant of record. That means Lemon Squeezy is the seller for payment purposes: it takes your payment, issues your receipt, and handles any GST, VAT or sales tax. Your payment is also subject to Lemon Squeezy’s buyer terms.
Prices are shown on our website and at checkout. The Shelf and each add-on are one-off purchases. There is no subscription and no recurring charge.
After purchase you receive a download link and a licence key by email. Please keep your licence key somewhere safe.
3. Your licence
When you buy The Shelf we grant you a personal, non-exclusive, non-transferable licence to install and use it on one computer for your own use. The software is licensed, not sold; we keep all intellectual property rights in it.
You may not:
- share, publish, sell or resell your licence key, or let others use it outside the licence above;
- copy, modify, decompile or reverse-engineer The Shelf, except where the law allows it despite this restriction;
- remove or work around the licence check, or remove copyright or licence notices.
Licence keys are checked offline on your computer. The Shelf does not need to contact us to confirm your licence.
The Shelf includes open-source components that are covered by their own licences. These are listed in the app (Help → Third-Party Notices) and on our licences page, and those licences apply to those components.
4. Add-ons
Documents and The Shelf TV are optional add-ons that require The Shelf. Each is a separate one-off purchase. You unlock an add-on by entering its licence key from the Add-ons button in the app, and the same licence terms in section 3 apply.
5. Your photos and files
The Shelf works with files on your own computer or drive. We never receive your photos, documents or films. You are responsible for keeping your own backups and for having the right to use the content you put in your library.
The Shelf only moves or changes files when you ask it to (for example, importing, deleting to the Rubbish Bin, or emptying the Rubbish Bin). Emptying the Rubbish Bin permanently erases those files.
6. Updates and support
Your purchase includes every future update to what you bought, free, for as long as we make them. Add-ons (Documents and The Shelf TV) are separate purchases and aren’t included with The Shelf.
For help, use our contact form.
7. Refunds and consumer rights
Our refund policy explains when you can get a refund.
If you are buying as a consumer in New Zealand, you have rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 that cannot be excluded. Nothing in these terms limits those rights. If you are a consumer elsewhere, you may have similar rights under your local law, and nothing in these terms limits them either.
If you are buying for the purposes of a business, you agree that the Consumer Guarantees Act 1993 does not apply, as permitted by section 43 of that Act.
8. Liability
Except for rights you have under consumer law that cannot be excluded:
- The Shelf is provided “as is”. We do our best to make it reliable, but we do not promise that it will be free of errors or suit every purpose.
- We are not liable for any indirect or consequential loss, or for loss of data. Please keep backups of anything important.
- Our total liability to you is limited to the amount you paid for The Shelf and any add-ons.
9. Third-party services and trademarks
The Shelf can import photos you have downloaded from other services, such as iCloud Photos downloads and Google Takeout exports. The Shelf is an independent product and is not affiliated with, endorsed by or sponsored by Apple Inc. or Google LLC. iCloud Photos is a trademark of Apple Inc. Google Photos is a trademark of Google LLC.
10. Governing law
These terms are governed by the laws of New Zealand, and the courts of New Zealand have jurisdiction. This does not take away any consumer protections you have under the law of the country you live in.
11. Changes to these terms
We may update these terms from time to time. The version on this page applies to purchases made after the “last updated” date. Changes will not reduce the rights you already have for a purchase you have made.
